as the company managing the Lodz Special Economic Zone, hereby invites to cumulative negotiations aiming at selecting entrepreneur who:

will be granted a permit for carrying on business within the Lodz Special Economic Zone in the Sub-zone Zdunska Wola Area 1 and

will purchase real estate identified as a plot No. 25/4, located within the Lodz Special Economic Zone – Sub-zone Zdunska Wola in Zdunska Wola at ul. Lipowa 29-35, section 9with a total areaof 2,5910 ha, developed with manufacturing, warehouse and social-office buildings, in desolated condition, disclosed in the Land and Mortgage Register (KW) No. SR1Z/00012136/8, kept by the District Court in Zdunska Wola – 5th Land and Mortgage Register Division, within which business activity covered by the aforesaid permit is to be carried on; and

will purchase undeveloped real estate identified as a plot No. 24/4, located in Zdunska Wola at ul. Moniuszki 12-20, section 9with a total areaof 0,3176 ha, disclosed in the Land and Mortgage Register (KW) No. SR1Z/00012136/8, kept by the District Court in Zdunska Wola – 5th Land and Mortgage Register Division. The real estate is not located within theLodz Special Economic Zone.

The subject of negotiations is cumulative sale of real estates specified above. Lodz Special Economic Zone informs that only offers for the purchase of both real estates jointly will be admitted to negotiations.

The real estates offered, which are the subject of negotiations, are owned by the city of Zdunska Wola and are free from any encumbrances and claims of third parties. As specified in the Local Area Development Plan – plots offered for sale are located within the area marked with 1P sign – area developed with manufacturing facilities, warehouses and buildings of administrative and office use.

The opening bidding price of the real estate offered for purchase identified as the plot 25/4 shall be: PLN 1.340.000,00. The sale is not subject to VAT.

Deposit (vadium) shall be: PLN 134.000,00 PLN

Minimum bid increment – 1% of the opening bidding price – which shall be: PLN 13.400,00

The gross opening bidding price of the real estate offered for sale identified as the plot 24/4 shall be: PLN 209.000,00 – including VAT at rate of 23%.

Deposit (vadium) shall be: PLN 21.000,00

Minimum bid increment – 1% of the opening bidding price – which is: PLN 2.100,00

The condition for taking part in negotiations shall be:

purchase the „Specification of essential conditions of the negotiations” (price: PLN 20.000 + 23% VAT). “The Specification of essential conditions of the negotiations” can be purchased at the office of the Lodz SEZ Joint Stock Co. every day except Saturdays and Sundays, by paying the purchase price to the bank account of the Lodz SEZ Joint Stock Co. : BRE BANK nr 97 1140 1108 0000 2030 2200 1001. Payment of the deposits (vadiums) in cash (PLN) in the amounts specified above by 15th December 2011, directly to the bank account of the Office of the City of Zdunska Wola in Bank Spółdzielczy Poddębice No. 09 9263 0000 0544 0094 2005 0001.

The deposit paid by the Bidder who wins the bid shall be credited towards the purchase price of the real estates. The deposit is to be forfeited if the Bidder who wins the bid will be evading to enter into contract of purchase of the real estate from the City of Kutno or if the Bidder who is the foreigner will not obtain permit of the Minister of Internal Affairs and Administration for the purchase of real estate.

The negotiations offers are to be submitted to the office of the Lodz SEZ Joint-Stock Co. in Lodz by 15thDecember 2011, 4:00 pm at the latest. The opening session of the negotiations will take place in the office of the Lodz SEZ Joint-Stock Co. 21st December 2011 at 12.00 pm.

The negotiations offers are to be evaluated on the basis of the criteria set out in „Specification of essential conditions of negotiations” and the Regulation of the Minister of Economy and Labour of 15 November 2004 (Journal of Laws No. 254, item 2544) concerning a way of execution, terms and conditions of tenders or negotiations and criteria of projects assessment when it comes to business activities which are to be undertaken by investors in the Lodz SEZ (Journal of Laws No. 254, item 2544).

The negotiations will be won by the Bidder whose negotiation offer will obtain the maximum score, not less however than 50% of all possible score and who will offer the purchase price higher than the opening bidding price by an equivalent of at leastone bid increment.

The Lodz Special Economic Zone Joint-Stock Co. reserves the right to withdraw from the negotiations where there is a material change of circumstances resulting in that the continuation of the negotiations procedure is not in the public interest, which could not have been foreseen in advance or where the negotiations procedure has a defect which prevents the Permit from being issued. The Lodz SEZ Joint-Stock Co. will inform all bidders at the same time, in writing, about cancellation of the negotiations procedure, giving the factual and legal reasons thereof.
